User Agreement

1. Introduction

This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and AuroraEx Limited ("AuroraEx," "we," "our," or "us") that governs your access to and use of the AuroraEx website, mobile application, trading platform, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to all the terms and conditions of this Agreement, you must not access or use our Services.

This Agreement incorporates by reference our Privacy Policy, Terms of Service, Risk Disclosure, and any other policies or guidelines posted on our website or platform.

2. Account Registration and Eligibility

To use our Services, you must create an account with us. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher;
  • You have the legal capacity to enter into this Agreement;
  • You are not a resident of a jurisdiction where trading in financial instruments is restricted or prohibited by law;
  • You are not a citizen or resident of the United States, North Korea, Iran, Syria, Cuba, or any other jurisdiction where our Services are prohibited;
  • You are not subject to any sanctions administered or enforced by any country or government or otherwise listed on any sanctions list;
  • You are not using our Services on behalf of any other person or entity;
  • You will only use our Services for your own personal or internal business purposes and not for any illegal or unauthorized purpose.

We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion, including if we believe that you have violated this Agreement or if your use of the Services poses risk to AuroraEx or other users.

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

You are solely responsible for all activities that occur under your account. We will not be liable for any loss or damage arising from your failure to comply with this section.

For security purposes, we recommend that you:

  • Use a strong, unique password for your AuroraEx account;
  • Enable two-factor authentication if available;
  • Do not share your account credentials with anyone;
  • Log out of your account after each session;
  • Regularly monitor your account for any suspicious activity.

4. User Conduct

When using our Services, you agree not to:

  • Violate any applicable law, regulation, or this Agreement;
  • Use our Services for any illegal or unauthorized purpose;
  • Engage in any form of market manipulation, including but not limited to pump and dump schemes, spoofing, layering, or wash trading;
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running our Services;
  • Use any robot, spider, crawler, scraper, or other automated means to access our Services;
  • Bypass measures we may use to prevent or restrict access to our Services;
  • Upload or transmit viruses, malware, or other malicious code;
  • Impersonate another person or entity;
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying our Services;
  • Use our Services to engage in any form of money laundering, terrorist financing, or other financial crime.

We reserve the right to monitor your use of our Services to ensure compliance with this Agreement and to investigate any suspected violations.

5. Trading Rules and Conditions

When using our trading platform, you agree to abide by the following rules and conditions:

  • You will only execute trades with funds that you own and that are available in your account;
  • You understand that trading in financial instruments involves significant risk, including the potential loss of your invested capital;
  • You will not engage in any form of market manipulation or abusive trading practices;
  • You will not use any arbitrage strategies that exploit latency or pricing errors;
  • You will not use expert advisors, automated trading systems, or other software in a manner that may cause harm to our platform or other users;
  • You will not exceed any position limits that we may impose from time to time;
  • You will comply with any trading restrictions or limitations that we may impose on your account.

We reserve the right to void or reverse any transaction that we determine, in our sole discretion, violates these trading rules and conditions or otherwise poses a risk to our platform or other users.

6. Deposits and Withdrawals

You may deposit funds into your account using the payment methods we accept. All deposits must be made from accounts or payment methods in your own name. We do not accept third-party payments.

You may request withdrawals from your account at any time, subject to the following conditions:

  • Withdrawals will only be processed to accounts or payment methods in your own name;
  • You must have completed our verification process before requesting a withdrawal;
  • Withdrawal requests may be subject to processing fees as specified on our website;
  • We reserve the right to request additional information or documentation before processing a withdrawal;
  • We may delay or refuse a withdrawal if we suspect fraud, money laundering, or other illegal activity;
  • Withdrawal requests will be processed within the timeframe specified on our website, but may be subject to delays due to bank processing times or other factors beyond our control.

7. Fees and Charges

You agree to pay all fees and charges associated with your use of our Services, as specified on our website or platform. These may include, but are not limited to:

  • Trading commissions;
  • Spreads;
  • Overnight financing fees (swaps);
  • Inactivity fees;
  • Deposit and withdrawal fees;
  • Currency conversion fees.

We reserve the right to change our fee structure at any time, with notice provided through our website or platform. Your continued use of our Services after such notice constitutes your acceptance of the new fee structure.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of AuroraEx or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as incidental to normal use of the Services or as expressly permitted in writing by us.

9. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of this Agreement.

You may terminate your account at any time by contacting our customer support team. Upon termination, your right to use our Services will immediately cease.

All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not warrant that the results that may be obtained from the use of our Services will be accurate or reliable.

No advice or information, whether oral or written, obtained by you from us or through our Services shall create any warranty not expressly stated in this Agreement.

11. Limitation of Liability

To the maximum extent permitted by law, AuroraEx and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our Services;
  • Any conduct or content of any third party on our Services;
  • Any content obtained from our Services;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • System failures or interruptions in our Services;
  • Trading losses or market fluctuations.

In no event shall our total liability to you for all claims exceed the amount you have paid to us for the use of our Services during the twelve (12) months preceding the event giving rise to the liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless AuroraEx and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of this Agreement;
  • Your use of our Services;
  • Your violation of any rights of another person or entity;
  • Your violation of any applicable laws, rules, or regulations.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which AuroraEx Limited is registered, without regard to its conflict of law provisions.

Any dispute arising out of or relating to this Agreement or our Services shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce. The arbitration shall take place in the jurisdiction in which AuroraEx Limited is registered, and the language of the arbitration shall be English.

14. Amendments to this Agreement

We reserve the right to modify this Agreement at any time. If we make material changes to this Agreement, we will notify you by email or by posting a notice on our website. Your continued use of our Services after such notification constitutes your acceptance of the modified Agreement.
